Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CorditeOS platform ("Service") provided by Cordite Labs Pvt Ltd ("Cordite Labs," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Account Responsibilities

  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activity that occurs under your account
  • You must provide accurate and complete information when creating your account
  • You must notify us immediately if you suspect unauthorized use of your account

3. Amazon Seller Account Authorization

By connecting your Amazon Seller Central account to CorditeOS, you authorize us to access your seller data through the Amazon Selling Partner API and, optionally, through automated Seller Central access. You represent that you have the authority to grant this access and that doing so does not violate any agreement you have with Amazon or any third party.

You understand that CorditeOS may execute actions on your behalf (such as price changes, listing updates, and advertising adjustments) based on your configured automation settings. You are ultimately responsible for the outcomes of these actions on your Amazon account.

4. Acceptable Use

You agree not to:

  • Use the Service to violate any applicable law, regulation, or Amazon's Terms of Service
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to transmit malware, spam, or other harmful content
  • Share your account credentials with unauthorized third parties
  • Resell or redistribute the Service without our written consent
  • Use the Service in any way that could damage, disable, or impair our infrastructure

5. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by Cordite Labs and protected by intellectual property laws. You retain ownership of your Amazon seller data. We do not claim any ownership rights over your data.

6. AI and Automated Actions

CorditeOS uses artificial intelligence and large language models (LLMs), including third-party AI services, to analyze data, generate recommendations, and execute automated actions on your Amazon Seller Central account. These actions may include but are not limited to: price changes, listing updates, advertising bid adjustments, inventory replenishment orders, and coupon/deal creation.

You acknowledge and agree that:

  • AI-generated recommendations and automated actions are based on probabilistic models and may not always produce optimal or desired outcomes. AI systems can produce inaccurate, incomplete, or unexpected results.
  • You are ultimately responsible for configuring automation settings (including autopilot modes and exception rules) and for the consequences of actions executed on your Amazon account, whether auto-approved or manually approved.
  • Cordite Labs is not responsible for any adverse impact on your Amazon account, sales, rankings, Buy Box status, advertising performance, inventory levels, or any other business metric resulting from automated actions, AI recommendations, or the use of the Service.
  • While we implement guardrails, circuit breakers, and rollback mechanisms to minimize risk, these safeguards cannot guarantee prevention of all unforeseen outcomes.

We will make commercially reasonable efforts to assist you in investigating and resolving any issues arising from automated actions, but such assistance does not constitute an admission of liability.

7. Third-Party Services and Availability

CorditeOS depends on third-party services that are outside our control, including but not limited to:

  • Amazon Selling Partner API (SP API) — for data ingestion and action execution
  • AI/LLM providers (e.g., Anthropic Claude) — for AI-powered analysis and recommendations
  • Cloud infrastructure (AWS, Supabase) — for hosting, storage, and authentication
  • Third-party data providers (e.g., Keepa) — for competitor and market data

We do not control the uptime, accuracy, availability, or performance of these third-party services. Changes to third-party APIs, rate limits, outages, deprecations, or policy changes may affect the functionality of CorditeOS without prior notice. We are not liable for any losses or disruptions caused by third-party service failures or changes.

We strive to maintain high availability but do not guarantee uninterrupted, error-free, or timely access to the Service. The Service is provided on an "as is" and "as available" basis.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Cordite Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, Amazon account standing, Buy Box position, advertising spend, or inventory value, arising out of or related to your use of the Service, AI-generated recommendations, automated actions, or third-party service failures.

Our total aggregate liability for any and all claims related to the Service shall not exceed the total amount you have actually paid to Cordite Labs for the Service during the 12 months immediately preceding the event giving rise to the claim.

This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if Cordite Labs has been advised of the possibility of such damages.

9. Disclaimer of Warranties

The Service, including all AI features, automated actions, recommendations, and data analysis, is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

We do not warrant that: (a) the Service will meet your specific requirements or business objectives; (b) AI recommendations will be accurate, complete, or suitable for your situation; (c) automated actions will produce desired results on your Amazon account; (d) the Service will be uninterrupted, secure, or error-free; or (e) any defects will be corrected.

10. Indemnification

You agree to indemnify and hold harmless Cordite Labs, its officers, directors, and employees from any claims, damages, or expenses arising from: (a) your use of the Service; (b) actions executed on your Amazon account through the Service; (c) your violation of these Terms; or (d) your violation of any third-party rights, including Amazon's Terms of Service.

11. Termination

Either party may terminate the agreement at any time. You may stop using the Service and request account deletion by contacting us at contact@corditelabs.com.

We may suspend or terminate your access if you violate these Terms, engage in fraudulent activity, or if required by law. Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy.

12. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India.
